Position: Senior Corporate Counsel
Senior Corporate Counsel with experience in securities and transactional law
This is a great opportunity to join a busy legal team in a dynamic health information technology company. The Senior Corporate Counsel will be responsible for preparing and reviewing SEC filings, and for advising the company on public company disclosure matters, corporate governance issues, and SOX compliance. The Senior Corporate Counsel will also likely be involved in corporate transactional work, including potential M&A and other matters. The Senior Corporate Counsel will report directly to the General Counsel at the Company's headquarters in Watertown, MA.
Responsibilities
Responsibilities may include, but are not limited to:
• Prepare and review regulatory filings, including 10-K, 10-Q, Form 8-K, Proxy Statements, and related public company disclosure matters
• Advise on corporate governance issues and SOX compliance matters
• Consult with the Board of Directors and outside counsel on SEC, disclosure, and governance matters
• Work on corporate transactions, including potential M&A, joint ventures, partnerships, and other corporate contractual matters
Qualifications
• J.D. from a well recognized law school and excellent academic credentials
• Admitted to bar in at least one state, preferably Massachusetts
• Very substantial securities regulatory experience in a law firm and/or corporation
• Corporate transactional (M&A) experience preferred

Bases for Evaluation
The Senior Corporate Counsel will be evaluated as much on the performance of the team as the individual's performance on discrete assignments and metrics.
• S/He will receive an annual appraisal, including a 360 degree assessment, to review demonstrated level of foundational and job-specific competencies and achievement against job-specific business goals
Compensation and Benefits
¬¬¬¬The Senior Corporate Counsel will be paid on a salaried basis depending on experience, plus a potential annual bonus driven by the success of the Company, department and individual and determined at the discretion of management. Other benefits include:
